Terms of Service

These Terms of Service (“Terms”) govern your use of Shop Madeira (the “Service”), operated by LeadTimber LLC, an Ohio limited liability company located at 7610 Railroad Ave, Madeira, OH 45243, USA. By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility

You must be at least 13 years old to use Shop Madeira. If you’re in a US state that imposes a higher minimum age for online accounts, you must meet that age. You also must be capable of forming a binding contract under the laws of your jurisdiction.

2. Your account

You are responsible for maintaining the security of your account credentials and for all activity that happens under your account. You agree to provide accurate, current, complete information at signup and to keep that information up to date. You may sign in with Apple, Google, Facebook, your phone number, or your email; the choice is yours.

We reserve the right to suspend or terminate an account that violates these Terms, that has been compromised, that we believe is engaged in fraud or abuse, or where required by law.

3. License to use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use as a Madeira-area resident or shopper. This license does not transfer any ownership of the Service or any content we provide.

4. Acceptable use

You agree NOT to:

• Spoof your location, attempt to earn stamps for visits you didn’t make, or share your QR codes with other people.
• Use bots, scrapers, automated scripts, or any other automated means to access the Service.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except as permitted by applicable law.
• Sell, sublicense, lease, transfer, or otherwise commercialize your access to the Service.
• Impersonate any other person, claim to be a Madeira business owner when you’re not, or otherwise misrepresent your identity.
• Use the Service to send unsolicited communications, advertisements, spam, or chain messages.
• Use the Service to harass, threaten, defame, or otherwise harm another person, business, or community.
• Probe, scan, or test the vulnerability of the Service except as part of a coordinated disclosure under our security policy.
• Use the Service in any way that violates applicable law.

Violations may result in immediate account suspension, forfeiture of any earned stamps, and (where applicable) referral to law enforcement.

5. The Shop Madeira loyalty program

• Stamps are a non-monetary measure of your activity within the Service. At launch, stamps do not have a cash value, cannot be purchased, transferred, or redeemed for cash. They may be redeemed only for merchant-funded perks within the Service as those become available.
• We reserve the right to adjust the rate at which stamps are earned or redeemed (for example, doubling stamps on Saturday or for Chamber-sponsored events). Changes apply prospectively only.
• Stamps may be reversed if we determine that a check-in was fraudulent, if a merchant disputes a redemption, if you violate these Terms, or if a refund is issued for a related transaction.
• Stamps have no expiration during normal use. They are forfeited if your account is suspended for cause or if your account is closed.
• If a future change introduces a dollar value for stamps, that change will require your re-affirmed consent before taking effect.

6. Merchant participation

If you are a business owner claiming a listing on Shop Madeira, the Merchant Agreement applies to your participation in addition to these Terms. The Merchant Agreement covers identity verification, content accuracy, redemption obligations, and the data we share with you about your customers (aggregated and anonymized).

7. User-submitted content

If you submit a photo, tip, hours correction, or other content (“Submissions”), you grant Shop Madeira a non-exclusive, royalty-free, worldwide license to display, moderate, archive, and use that content in connection with the Service. You retain ownership of your content.

You represent and warrant that your Submissions:

• are your original work or that you have the right to share them;
• do not infringe any third party’s rights;
• are accurate;
• do not contain any unlawful, defamatory, harassing, or sensitive personal information about third parties.

We may remove Submissions at any time at our sole discretion. We moderate photos and corrections before they are published.

8. Intellectual property

Shop Madeira, the Shop Madeira logo, the “SM” stamp mark, the wordmark, and all related design elements are trademarks and intellectual property of LeadTimber LLC. You may not use them without our prior written permission, except for fair-use descriptions of the Service.

Business names, logos, and other identifiers belong to their respective owners. Their presence in the directory does not imply endorsement of Shop Madeira.

AI-generated imagery

Some business listings display an AI-generated placeholder image while we wait for the owner to upload real photos. These images are illustrative only, are labeled as AI-generated in the interface, and are not photographs of the actual business, its products, or its premises. They are produced with a third-party image model (Flux Pro via fal.ai) and may be replaced or removed at any time. Nothing about an AI-generated image should be relied on as an accurate depiction of a business.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. We make no warranty that the Service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Information about businesses (hours, addresses, descriptions, photos) is provided for general informational purposes. We cannot guarantee the accuracy of business-supplied information or third-party data sources. Verify operating hours and addresses with the business directly before relying on them.

10. Limitation of liability

To the maximum extent permitted by applicable law, neither LeadTimber LLC nor any of its officers, directors, employees, or agents will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

In no event will our total cumulative liability arising out of or relating to these Terms or the Service exceed the greater of: (a) one hundred U.S. dollars (USD $100), or (b) the amount you paid us in the 12 months immediately preceding the claim.

Some jurisdictions don’t allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted.

11. Indemnification

You agree to indemnify and hold harmless LeadTimber LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your Submissions; or (d) your violation of any third party’s rights.

12. Governing law and venue

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not subject to small claims court will be resolved exclusively in the state or federal courts located in Hamilton County, Ohio, and you and we consent to personal jurisdiction in those courts.

These Terms do not contain a mandatory arbitration clause. You retain the right to bring a claim in small claims court for any dispute that qualifies for that venue.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material (for example, adding a new fee, materially restricting how you can use the Service, or expanding our rights at your expense), we will notify you by email and require you to accept the updated Terms before continuing to use the Service. Non-material changes (clarifications, formatting, typo fixes) take effect when posted and are reflected in the “Last updated” date at the top of this page.

14. Termination

You may stop using the Service and delete your account at any time from Profile → Settings → Privacy → “Delete my account.”

We may suspend or terminate your account if you violate these Terms, if continuing to provide the Service would violate the law, if we’re required to by an order of a court or government agency, or if your account has been inactive for an extended period.

On termination, the following survive: Sections 7 (license you granted us for Submissions), 8 (intellectual property), 9 (disclaimers), 10 (limitation of liability), 11 (indemnification), 12 (governing law and venue), and 15 (miscellaneous).

15. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and Shop Madeira regarding the Service.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Failure to enforce any provision isn’t a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets (for example, transfer of Shop Madeira to the Madeira Chamber of Commerce).
• Notices. We may send you notices by email, by push notification, or by posting them on the Service. You consent to receive electronic notices.
